TERMS AND CONDITIONS

Effective Date: April 24, 2026

These Terms and Conditions govern access to krameraitech.com and the purchase or use of services provided by Kramer AI LLC, doing business as Kramer AI.

By accessing the website, requesting a proposal, purchasing services, signing an agreement, or otherwise engaging Kramer AI LLC, you agree to these Terms.

1. Services

Kramer AI LLC provides business technology services that may include:

  • Custom software design and development

  • Artificial-intelligence integration

  • Workflow and business-process automation

  • Data analytics and reporting

  • Software architecture

  • Technical consulting

  • Application and system integration

  • Cloud deployment

  • Maintenance and technical support

  • Training and implementation assistance

  • Software licensing

  • Related technology products and services

The exact scope, price, schedule, deliverables, and responsibilities for each engagement will ordinarily be stated in a written proposal, service agreement, order form, invoice, or statement of work.

If a signed agreement conflicts with these Terms, the signed agreement will control for that specific engagement.

2. Project Acceptance

Submitting a contact form, requesting a quotation, attending a consultation, or discussing a project does not require Kramer AI LLC to accept the engagement.

A project is accepted only after:

  • Kramer AI LLC approves the engagement

  • The applicable proposal or agreement is accepted

  • Required signatures are completed

  • Any required initial payment is received

  • Necessary project information is provided

Kramer AI LLC may decline projects that are outside its expertise, create unreasonable risk, involve prohibited activity, or cannot be completed within available resources.

3. Estimates and Proposals

Unless a proposal states otherwise:

  • Proposals remain valid for 30 calendar days.

  • Estimates are based on information available when prepared.

  • Material changes in scope may change the price and schedule.

  • Work outside the agreed scope requires written authorization.

  • Project work will not begin until required approvals, information, system access, and payments have been received.

4. Customer Responsibilities

Customers agree to:

  • Provide accurate and complete information

  • Identify an authorized project contact

  • Respond to questions and approval requests promptly

  • Provide necessary content, credentials, documentation, and system access

  • Secure all rights and permissions for materials supplied to Kramer AI LLC

  • Review deliverables within the applicable acceptance period

  • Use services and deliverables lawfully

  • Pay invoices according to the agreed schedule

  • Maintain appropriate backups and security procedures

  • Inform Kramer AI LLC of legal, regulatory, security, or compliance requirements affecting the project

Project timelines may be extended when customer delays, incomplete information, unavailable credentials, changing requirements, or third-party issues prevent work from proceeding.

5. Scope and Change Requests

Services are limited to the scope described in the applicable written agreement.

A request may be treated as a change request when it materially alters:

  • Features

  • Integrations

  • Design

  • Data volume

  • User volume

  • Technology requirements

  • Security requirements

  • Compliance requirements

  • Delivery dates

  • Testing requirements

  • Support obligations

Before performing additional work, Kramer AI LLC may issue a revised estimate, change order, separate invoice, or updated statement of work.

6. Pricing and Payment

Kramer AI LLC may charge customers through:

  • Initial deposits

  • Milestone payments

  • Fixed project fees

  • Hourly or daily rates

  • Monthly retainers

  • Recurring subscriptions

  • Maintenance or support plans

  • Usage-based charges

Unless a written agreement states otherwise:

  • Custom projects ordinarily require a 40% initial deposit.

  • Remaining amounts are billed at defined project milestones or delivery.

  • Invoices are due within 15 calendar days.

  • Work may be paused when an invoice becomes overdue.

  • Third-party software, licenses, cloud services, usage charges, hardware, travel, and approved expenses may be billed separately.

  • Deposits and milestone payments are governed by the Refund and Cancellation Policy.

  • Customers are responsible for reasonable collection costs associated with undisputed overdue balances.

Kramer AI LLC does not impose late-payment interest unless it is disclosed in the applicable agreement or invoice and permitted by law.

7. Payment Authorization

By providing a payment method, the customer represents that:

  • The customer is authorized to use that payment method.

  • The information provided is accurate.

  • Kramer AI LLC and its payment processor may charge amounts properly due under the applicable agreement.

  • Approved recurring charges may continue until canceled according to the applicable plan.

Customers must not submit payments using stolen, unauthorized, or fraudulently obtained payment information.

8. Project Delivery

Deliverables may be provided through:

  • Secure file transfer

  • Source-code repository

  • Cloud deployment

  • Customer-controlled hosting

  • Staging or testing environment

  • Email

  • Virtual meeting

  • Project-management platform

  • Technical documentation

  • Training session

Delivery is considered completed when the applicable deliverable is transmitted, deployed, demonstrated, or otherwise made available in the method stated in the agreement.

9. Review and Acceptance

Unless a written agreement states otherwise, customers have 10 business days after delivery to report a material failure to conform to the agreed scope.

A report must reasonably identify:

  • The affected deliverable

  • The applicable requirement

  • The expected result

  • The actual result

  • Steps needed to reproduce the issue

  • Relevant screenshots, logs, or documentation

A deliverable may be considered accepted when:

  • The customer approves it in writing

  • The customer places it into production

  • The customer begins using it commercially

  • The customer authorizes the next milestone

  • The 10-business-day review period expires without a documented material objection

Requests for new features or changes outside the agreed scope are not defects.

10. Intellectual Property

Ownership is governed by the applicable written agreement.

Unless otherwise agreed:

  • Kramer AI LLC retains ownership of its preexisting tools, frameworks, methods, templates, libraries, processes, reusable components, and know-how.

  • Customers retain ownership of customer-supplied data, branding, content, and proprietary materials.

  • Rights to custom deliverables transfer only after all related invoices have been paid.

  • Third-party software remains subject to its own license terms.

  • Open-source components remain governed by their applicable licenses.

Kramer AI LLC may use general knowledge, skills, concepts, and experience developed during a project, provided that confidential customer information is not disclosed.

11. Confidentiality

Each party may receive confidential information from the other.

The receiving party will:

  • Use reasonable care to protect confidential information

  • Use it only for the authorized business purpose

  • Limit disclosure to individuals who reasonably need access

  • Comply with applicable confidentiality agreements

Confidentiality obligations do not apply to information that:

  • Is publicly available without breach

  • Was already lawfully known

  • Is independently developed

  • Is lawfully received from another source

  • Must be disclosed under legal process

12. Third-Party Services

Projects may depend on third-party platforms, hosting providers, software libraries, APIs, artificial-intelligence providers, payment services, data services, or external infrastructure.

Kramer AI LLC does not control third-party services and is not responsible for:

  • Third-party outages

  • Pricing changes

  • Feature changes

  • Policy changes

  • Account restrictions imposed by third parties

  • Discontinued services

  • Data loss caused by third parties

  • Security incidents outside Kramer AI LLC’s reasonable control

Customers are responsible for reviewing and complying with applicable third-party terms.

13. Artificial-Intelligence Limitations

Artificial-intelligence systems may generate inaccurate, incomplete, outdated, biased, inconsistent, or unexpected results.

Unless a signed agreement expressly states otherwise:

  • Artificial-intelligence output must be reviewed by a qualified person before use.

  • Output is not guaranteed to be unique or error-free.

  • Customers remain responsible for decisions made using an AI-enabled system.

  • AI output must not be treated as verified legal, medical, accounting, investment, employment, lending, insurance, housing, or regulatory advice.

  • Customers must not use Kramer AI services for unlawful, deceptive, discriminatory, or harmful purposes.

  • Kramer AI LLC does not guarantee identical outputs when the same input is submitted more than once.

14. Warranties

Kramer AI LLC will perform professional services using reasonable care consistent with the applicable written agreement.

Except for warranties expressly stated in a signed agreement, the website, services, and deliverables are provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, Kramer AI LLC disclaims implied warranties of:

  • Merchantability

  • Fitness for a particular purpose

  • Title

  • Noninfringement

  • Uninterrupted operation

  • Error-free performance

15. Limitation of Liability

To the maximum extent permitted by law, Kramer AI LLC will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including lost profits, lost revenue, lost business opportunities, loss of data, or business interruption.

Unless prohibited by law or changed by a signed agreement, Kramer AI LLC’s total liability arising from a specific claim will not exceed the amount paid to Kramer AI LLC for the services directly giving rise to that claim during the six months preceding the event.

16. Indemnification

The customer agrees to indemnify and defend Kramer AI LLC against third-party claims arising from:

  • Customer-supplied materials

  • Customer instructions

  • Unlawful use of services or deliverables

  • Customer violation of applicable law

  • Customer violation of third-party rights

  • Unauthorized processing of data

  • Customer misuse of artificial-intelligence output

This obligation does not apply to the extent a claim results solely from Kramer AI LLC’s willful misconduct.

17. Suspension and Termination

Kramer AI LLC may suspend or terminate services because of:

  • Nonpayment

  • Material breach

  • Illegal, fraudulent, abusive, or harmful activity

  • Security threats

  • Unauthorized access

  • Material misrepresentation

  • Failure to provide required cooperation

  • Conduct that creates unreasonable legal or operational risk

Termination does not eliminate payment obligations for completed work, approved work in progress, committed third-party expenses, or other amounts already earned.

18. Force Majeure

Neither party will be liable for delays caused by events beyond reasonable control, including natural disasters, war, civil unrest, labor disruptions, widespread internet outages, government action, utility failures, public-health emergencies, cyberattacks by third parties, or major infrastructure failures.

19. Governing Law and Venue

These Terms are governed by the laws of the State of Montana, without regard to conflict-of-law principles.

Legal proceedings must be brought in an appropriate state or federal court located in Yellowstone County, Montana, unless the parties agree in writing to another dispute-resolution procedure.

20. Website Content

Website content is provided for general informational purposes.

Website content does not create a professional-services relationship and does not guarantee that any proposed technology or solution is appropriate for a particular business.

Kramer AI LLC may update, modify, or remove website content without notice.

21. Changes to These Terms

Kramer AI LLC may revise these Terms periodically.

Updated Terms will be posted on the website with a revised effective date. Continued use of the website after updated Terms are published constitutes acceptance of the revised Terms.

ACCEPTABLE USE POLICY

Effective Date: April 24, 2026

Customers and website users may not use Kramer AI LLC services to:

  • Violate federal, state, local, or international law

  • Infringe intellectual-property, privacy, publicity, or contractual rights

  • Gain unauthorized access to systems, networks, accounts, or data

  • Create, distribute, or deploy malware

  • Facilitate fraud, phishing, impersonation, identity theft, or financial deception

  • Circumvent security controls

  • Conduct unlawful surveillance

  • Generate, distribute, or facilitate illegal content

  • Discriminate unlawfully

  • Make prohibited fully automated high-impact decisions without appropriate human review

  • Send unlawful unsolicited communications

  • Interfere with service availability

  • Misrepresent AI-generated content as verified professional advice

  • Process personal data without required authorization or consent

  • Develop tools intended primarily to harm, exploit, defraud, or deceive others

  • Violate the terms of a third-party platform or service

Kramer AI LLC may reject, suspend, or terminate a project that creates unreasonable legal, ethical, security, financial, or reputational risk.

ARTIFICIAL INTELLIGENCE SERVICES DISCLAIMER

Kramer AI LLC develops and integrates technology that may use artificial intelligence, machine learning, automation, large language models, and third-party data sources.

Artificial-intelligence systems are probabilistic. Outputs may contain mistakes, omissions, outdated information, bias, or unexpected results.

Customers must independently review and validate outputs before relying on them for:

  • Legal decisions

  • Medical or healthcare decisions

  • Lending or credit decisions

  • Insurance decisions

  • Employment decisions

  • Housing decisions

  • Financial or investment decisions

  • Safety-critical operations

  • Regulatory compliance

  • Decisions that materially affect an individual’s rights or opportunities

Kramer AI LLC does not represent that AI-generated output constitutes legal, medical, financial, accounting, investment, or other licensed professional advice.

Customers are responsible for establishing appropriate:

  • Human oversight

  • Access controls

  • Testing procedures

  • Accuracy reviews

  • Security measures

  • Monitoring

  • Recordkeeping

  • Compliance safeguards

  • Escalation procedures
